We represent clients in a variety of technology-focused transactions and advise on related cybersecurity and privacy matters.

Many of our technology transactional lawyers are also former technologists – engineers, programmers and computer scientists – and, consequently, are effective communicators and advisors to legal, business and technology teams, alike.

We work with companies in a range of industries, including high tech, consumer products, financial services and life sciences, to execute transactions that cut costs, enhance operational efficiency and lead to new capabilities and products. Our experience includes drafting and negotiating cloud computing, software license, professional services and outsourcing agreements, and representing clients in a range of transactions involving data centers and other IT infrastructure.

A key component of our practice is protecting our clients against cybersecurity and privacy risks that are associated with these transactions and utilizing outside vendors and service providers. We help clients comply with tech industry and regulation standards, implement internal policies for the collection, use and protection of personal data, and draft vendor and outsourcing agreements that explicitly outline data protection requirements.

For our clients that are victims of data breaches, we provide pre- and post-incident counseling and advise on nationwide notification protocols and procedures.
