Corporate Counseling
The world is changing fast – but as it races by, our attorneys are there to help corporate leaders see things a little bit clearer.
Whether they’re facing disruptions wrought by a global pandemic, climate change, data breaches or upstart technology, corporate leaders turn to us for reliable guidance in navigating an increasingly unreliable world.
These issues don’t exist in a vacuum, and neither does our counsel. We draw on extensive experience across industries and markets to provide trusted corporate governance, regulatory and compliance advice – to public and private companies, boards of directors, board committees, investors and financial advisors alike.
In a landscape marked by heightened pressure on corporate responsibility and increasingly complex regulations, our team provides knowing, reliable support in areas such as internal controls and procedures, SEC reporting, stock exchange listing requirements, shareholder communications and executive compensation. In addition, we proactively help clients seize new opportunities and mitigate new risks, be it via counsel on optimal entity structuring, dispute management, new regulatory requirements or commercial transactions of any stripe.
With a team that includes a number of former government officials, we are adept at addressing questions and concerns raised by regulators – as well as matters related to securities laws, including preparation of SEC filings and other public disclosure documents.
Representative Matters
- Park Insurance in opposing liquidation in a high-profile case pending in New York Supreme Court. The matter is the first contested liquidation proceeding in over two and a half decades, and it particularly showcases our team’s niche experience in insurance regulatory matters.
- Advised a seasoned private investor in office real estate on its entering a new market, namely retail capital. We introduced this fund sponsor to various retail investors and assisted with the development of an entirely new business model.
- Advise two public non-traded REITs on responding to hostile mini-tender offers, a highly niche area of capital markets practice.
- Served as corporate counsel to the restructured entity for Deluxe Entertainment Services Group Inc., after representing an ad hoc group of lenders in connection with Deluxe’s pre-packaged chapter 11 cases.
- Provide integrated guidance regarding the New York City Climate Mobilization Act as it relates to leasing, acquisitions and dispositions, new construction and development projects, financing, and tax abatement, as well as potential litigation or investigations.
