Internationally recognized for our innovative approaches to national security issues affecting commercial transactions – including government reviews, facility security clearances, government contracts, export controls and anti-corruption compliance – we guide clients through the regulatory maze in complex, business-sensitive matters, including corporate mergers, acquisitions and joint ventures.

Our team also drafts and implements a wide range of arrangements to mitigate Foreign Ownership, Control, or Influence (FOCI) in compliance with national industrial security regulations, including work on behalf of some of the U.S. Government’s largest defense and national security contractors.

We offer a full range of regulatory, legislative and compliance services, including matters before the Committee on Foreign Investment in the United States (CFIUS) and matters involving the Foreign Corrupt Practices Act (FCPA), the Federal Acquisition Regulations (FAR), the International Traffic in Arms Regulations (ITAR), the Export Administration Regulations (EAR), and trade sanctions administered by the Office of Foreign Assets Control (OFAC). We conduct due diligence reviews and assessments, as well as negotiate and assist companies with implementation of, and compliance with, CFIUS-based mitigation arrangements.

Our team, which includes former CFIUS, Department of Defense (DOD), Department of Justice (DOJ), Senate and Defense Security Service (DSS) counsel and staff, advises on a range of issues before CFIUS and government agencies, including the DOD, DOE and State Department.

Our clients include companies in the aerospace, communications, defense, manufacturing, mining, real estate and technology industries.

Experience

  • Obtained CFIUS clearance for a major German multinational corporation and represented the client before the Directorate of Defense Trade Controls in connection with the corporation’s $5 billion acquisition by a Chinese corporation:, the largest acquisition of a German company by a Chinese investor, and the first Chinese corporate acquisition of a publicly traded German company.
  • The team has guided over 200 Exon-Florio reviews before CFIUS on acquisitions ranging in value from less than $1 million to $80 billion, including acquisitions by one of the principal industrial groups operating worldwide in the aerospace, defense and security sectors, of the world’s largest supplier of commercial airplane assemblies and components; and negotiation and implementation of CFIUS National Security Agreements to resolve investigations and clear transactions.
  • Represented major semiconductor manufacturer in connection with sale of assets to a Chinese private equity firm.
  • Counseled a multinational information and analytics company in connection with national security matters.
  • Provided CFIUS counsel to a German multinational chemical company with respect to its $80 billion business combination with another entity. The transaction successfully completed the CFIUS review without mitigation. Continue to advise the company with respect to FOCI mitigation, subsidiary divestitures and government contracting matters.
