"Hart-Scott-Rodino Thresholds to Increase"
Effective February 12, 2009, the jurisdictional thresholds for filings under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (the "Act") will increase. The increases are pursuant to the 2000 amendments to the Act, which require the Federal Trade Commission to revise the thresholds annually, based upon the change in the gross national product. The first such increase occurred in 2005. Under the Act, the filing of a Hart-Scott-Rodino Notification and Report Form is necessary only if a transaction meets certain qualifying tests, commonly known as the “size of transaction” and “size of person” tests.
