Michael McCarthy advises commercial lenders and borrowers in connection with mortgage and mezzanine financing secured by commercial real estate and in connection with real estate capital markets transactions, including repurchase facilities.

Mike represents clients in connection with the acquisition and disposition of real estate, including the formation of joint venture vehicles to acquire real estate. He also counsels clients in connection with the acquisition and disposition of whole loans, participation interests, and subordinate notes and in connection with loan workouts, restructurings and foreclosures.

Representative Matters

  • A real estate fund in connection with the origination of multiple fixed and floating rate mortgage loans, secured by various asset types.
  • A national banking association, as buyer, in connection with the origination of multiple repurchase facilities.
  • A national banking association in connection with the origination of a mortgage loan secured by a portfolio of hotel properties located in multiple jurisdictions.
  • Client in connection with the acquisition of (i) an office building located in Atlanta, Georgia and (ii) an office building located in Detroit, Michigan.  Both representations included the formation of a joint venture and acquisition financing.
  • A banking institution in connection with a “note-on-note” financing.
  • A national banking association in connection with the origination of a construction loan secured by an entertainment complex is Texas.
  • A national banking association in connection with the origination of a mortgage loan secured by an office building located in New York City.
  • A foreign institution in connection with the acquisition of an office building located on Manhattan’s west side.
  • A foreign real estate fund in connection with the acquisition of a portfolio of medical facilities, including fee and leasehold interests located in multiple jurisdictions. Representation included the formation of a joint venture and acquisition financing.
  • Multiple business entities, as tenants, in connection with the leasing of commercial space.
  • A private equity group in connection with the acquisition of (i) a portfolio of multifamily properties located in Texas and (ii) a portfolio of multifamily properties located in Georgia.  Both transactions involved the formation of a joint venture and acquisition financing.

  • Elected Member, Community Education Council – District 3 (Manhattan’s Upper West Side), a public advisory committee responsible for reviewing and evaluating the district’s educational programs, approving zoning lines and holding public hearings on educational matters.
