Jonathan focuses his practice in Corporate and Private Funds. He counsels investment managers in connection with the formation, structuring, placement and operation of private equity funds, real estate funds and hedge funds accommodating U.S. and non-U.S. investors. He not only advises his clients on investment advisory matters, but also in the areas of mergers and acquisitions, CFIUS reviews, industrial security, and FOCI mitigation matters. Jonathan also works on various debt and finance matters.

  • Reagan Outdoor Advertising in its ~$250 million acquisition of outdoor advertising assets in Tennessee, Indiana and Minnesota from Fairway Outdoor Advertising Group.
  • Atlas Merchant Capital, as co-lead investor, in the $2.05 billion acquisition of Talcott Resolution, the run-off life insurance and annuity division of The Hartford.
  • Representation of a foreign pension fund before CFIUS in connection with a multi-billion dollar transaction.
  • FOCI mitigation arrangements in compliance with national industrial security regulations.
