"Hart-Scott-Rodino Thresholds to Increase"
As of February 17, 2006, certain dollar thresholds for filings under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (the “Act”) will increase. The increases are pursuant to the 2000 amendments to the Act, which require the Federal Trade Commission (“FTC”) to revise the jurisdictional thresholds annually, based upon the change in the gross national product. This will be the second annual adjustment. The first such increase occurred in 2005. Under the Act, a Hart-Scott-Rodino filing is necessary only if a transaction meets certain qualifying tests, commonly known as the “size of transaction” and “size of person” tests.
