Cooperatives and Condominiums

Stroock has a unique cooperative and condominium practice as our highly skilled attorneys represent some of New York City's most prominent for-profit and not-for-profit developers in the development of cooperative and condominium projects. We have established a thorough understanding of both the development process and the skills necessary to advise cooperatives and condominiums on the management and operations of their buildings.   
 
On the developer side, Stroock provides advice and counsel to high profile sponsors of both luxury and affordable projects involving cooperatives, condominiums and time share developments.  We represent the developer through all stages of the process including the preparation of cooperative policy statement, no-action applications and offering plans, for both new projects and occupied building conversions.  Stroock is able to provide strategic advice and guidance, from the nascent stages of the process all the way through to contract closing of individual units which the firm efficiently and effectively handles in-house. 
 
Stroock attorneys have drafted offering plans for many of the most notable residential buildings in New York City, including One57 on billionaires row and 220 Central Park South; affordable cooperative conversions such as Bradhurst Court in Harlem and mixed-income inclusionary housing projects such as Riverwalk Landing on Roosevelt Island; as well as commercial condominium conversions such as the International Gem Tower in Manhattan’s Diamond District. We are experienced in the development of mixed-use commercial condominiums, the preparation of joint venture agreements and detailed knowledge of affordable housing, helping clients use the condominium form of ownership as a vehicle for the financing, tax incentives and development of large-scale properties.
 
In addition to providing an array of transactional services, Stroock also represents developers before City and State agencies in complex regulatory matters and investigations.  Our attorneys have experience representing developers before the Real Estate Finance Bureau of the New York State Attorney General’s office and the New York City Department of Housing Preservation and Development. 
 
Our cooperative and condominium practice includes a team that represents some of the most exclusive cooperative and condominium boards throughout New York City, including Fifteen Central Park West Condominium, 50 UN Plaza Condominium, 655 Park Ave, Inc. and hotel cooperatives and condominiums such as The Sherry-Netherland, The Pierre and The Carlyle.  We guide boards in every aspect of governance, including review of governing documents, fiduciary obligations, election disputes, alterations, licenses and apartment-owner issues.  We also represent new boards who may need to address issues with their sponsor.  While we make every effort to resolve disputes without litigation, if it becomes necessary to “go to court,” Stroock’s experienced real estate litigators are available to advise and represent the board. 

Our attorneys are active leaders of the New York real estate community and are members of numerous organizations, including the New York City Bar Association, New York State Bar Association, the Real Estate Board of New York (REBNY) and the New York State Association for Affordable Housing.  Stroock attorneys serve as counsel to REBNY and advise REBNY’s Resident Management Council on cooperative and condominium issues.  Our partners serve as regular columnists for the New York Law Journal, and our attorneys write regularly, including for such specialized periodicals as Habitat.  A number of their articles are reproduced in "A Practical Guide to Legal Issues for Co-op/Condo Managers and Boards," a biennial Stroock publication.
