Class of ’11-’12 Executive Compensation/Employee Benefits – Candidate should have substantive experience in executive compensation and employee benefits considerations in the context of mergers, acquisitions, and divestitures, including in the private equity and distressed transactions arenas.  The ideal candidate should have substantial experience in managing transaction-related matters.  Further, desired candidate should have deep understanding and experience regarding Sections 409A, 457A, 280G, 83 and 162(m) of the Internal Revenue Code and have substantial experience drafting and negotiating individual compensation arrangements (e.g., equity/phantom equity/incentive compensation), both from the employer and employee/management team perspective.   ERISA Title I and qualified plan experience is a plus.  Great opportunity for a reliable attorney who possesses natural leadership qualities.
